Workflow Systems, together with the printed or online instructions, manuals, screens, and diagrams pertaining to the software and provided by the Provider, the “Software company licenses the user: The right to the platform and to subscribe under the plan chosen for the user as agreed below with the following items:

The user hereby agrees that workflow systems’ terms and conditions (LINK IT HERE) are hereby incorporated in this agreement by reference. The user agrees by checking the box below that they are bound to the terms and conditions and have read the terms.
1. LICENSE USAGE
The Provider gives the User the right and license to:
Perform all daily operations as described below, in the system created for the User under the plan chosen. Once the system is developed and login is generated, the user has full access to daily tasks and customer service.
Access to customer service is provided via monthly subscription which also include the server and maintenance on regular basis.
- TERMS, TERMINATION AND PENALTY.
Termination. This agreement does not have a termination date, the user may terminate the process at any time.
Terms. This agreement will become effective as soon user agrees to these terms. If the User has chosen the customization plan, it is expected, but not confirmed to be ready for use after six month within the signed agreement below sent via email (e-sign).
Penalty for cancelation: The agreement and payments are not under a contract, if user stops payments (either customization or subscription), there is period of 30 to 60 days allowance before all access is locked.
2.EFFECT OF TERMINATION. Customer service and maintenance monthly subscriptions payments are not under contract and it may be terminated at any time.
If customization and or subscription is terminated for any reason, the user will:

Workflow Systems Software offer a BASIC, PREMIUM OR CUSTOM options plans as described under our plans and services:
BASIC development fee ($2,999) – This Software services in all areas of scheduling and management services with project proposals, leads and invoicing.
Subscription monthly fee – $199
SUBSCRIPTION: User Contractor will be responsible for the monthly maintenance of the system and the management of the hired servers according to the system’s needs and assistance and training.
This subscription service gives the user access to customer service.

Subscription monthly fee – $299
SUBSCRIPTION: User Contractor will be responsible for the monthly maintenance of the system and the management of the hired servers according to the system’s needs and assistance and training.
This subscription service gives the user access to customer service.

4.SCHEDULE OF DEVELOPMENT
The development of the basic or premium personalized plans set up and construction should expected to be one week times.
The development of CUSTOM PLAN will follow the following schedule:
Beta Phase (Development): The timeline is expected, but not set, to be 6 months from the signing of this contract to the development of the beta version.
Tests and Adjustments: After the beta phase, the expected time to carry out operational tests, adjustments and bug fixes would be approximately 2 months
5. PROVIDER AND USER RESPONSIBILITIES The Provider hereby represents that:
Develop the software for the PLAN CHOSEN in accordance with established requirements and within defined deadlines.
Keep the system secure, active and updated.
User hereby represents that:
Necessary information and detailed requirements for the development and maintenance of the system
Make payments as agreed in this contract signed via DocuSign for customization and subscription of Workflow Systems software
- INTERRUPTION OF SERVICE.
Although the provider will attempt to keep its site operational at all times, a certain amount of downtime and interruption of service is inevitable if weather or outrage may occur, or other out of Workflow System software internal control.
The user is not responsible for any interruption of service to the Site and the Provider shall not hold the user liable for any consequences of interruption of the Site.
- GENERAL PROVISIONS
This agreement represents the entire agreement between Workflow Systems and the user, and supersedes any prior agreements or understandings, oral or written.
Any changes or additions to this USE AGREEMENT must be made in writing and signed by both parties under a new document agreement.
- ELECTRONIC SIGNATURES.
This agreement, agreements ancillary to this agreement, and related documents entered into in connection with this agreement are signed when a party’s (User) signature is delivered by facsimile, email, or other electronic medium. These signatures must be treated in all respects as having the same force and effect as original signatures.
6.SEVERABILITY.
If any one or more of the provisions contained in this agreement is, for any reason, held to be invalid, illegal, or unenforceable in any respect, that invalidity, illegality, or unenforceability will not affect any other provisions of this agreement, but this agreement will be construed as if those invalid, illegal, or unenforceable provisions had never been contained in it, unless the deletion of those provisions would result in such a material change so as to cause completion of the transactions contemplated by this agreement to be unreasonable.
7.GOVERNING LAW
a-These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of Florida.
- Disclaimer and Warranties/ Limitation of liability
This software is provided by the company Workflow Systems and accepted by the licensee “as is”. We hereby declare that we do not guarantee, represent or warrant that your use of our product will be uninterrupted, timely, secure or error-free. Workflow Solutions is not responsible for Unforeseen external situations from out of our control that may interrupt service for a period of time.
In no case shall Workflow Systems, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, Service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, security breach, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the Service or any products procured using the Service, or for any other claim related in any way to your use of this Service.
Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.
Liability of the company workflow Systems will be limited to a maximum of the original purchase price of this app. The company will not be liable for any general, a special incidental or consequential damages including, but not limited to loss of production, cyber breach problems, loss of profits, loss of revenue or data, or any other business or economic disadvantage suffered by the licensee arising out of the use or failure of this software8
8.INDEMNIFICATION
You agree to indemnify, defend and hold harmless Workflow Systems and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, Service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of this user agreement or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
9.NOTICES
This user agreement constitutes the agreement of the parties (Workflow Systems and the User). It is the complete and exclusive expression of the parties’ agreement about the subject matter of this agreement. All prior and contemporaneous communications, negotiations, and agreements between the parties relating to the subject matter of this agreement are expressly merged into and superseded by this agreement. The provisions of this agreement may not be explained, supplemented, or qualified by evidence of trade usage or a prior course of dealings. Neither party was induced to enter this agreement by, and neither party is relying on, any statement, representation, warranty, or agreement of the other party except those set forth expressly in this agreement. Except as set forth expressly in this agreement, there are no conditions precedent to this agreement’s effectiveness.

Each party giving or making any notice, request, demand, or other communication required or permitted by this agreement shall give that notice in writing and use one of the following types of delivery, each of which is a writing for purposes of this agreement: personal delivery, mail (registered or certified mail, postage prepaid, return-receipt requested), nationally recognized overnight courier (fees prepaid), facsimile, or email.
